1. Service Description

Healthtech Capital LLC ("we", "us", "our"), doing business as LLM Consensus, provides a multi-model LLM orchestration API (the "Service") at llmconsensus.io. The Service allows users to submit prompts that are processed across multiple large language model providers — including OpenAI, Anthropic, Google, Mistral AI, and Meta/Together AI — and returns aggregated, consensus-based responses via a unified API endpoint.

Healthtech Capital LLC is a Wyoming LLC registered at 30 N Gould St Ste R, Sheridan, WY 82801, USA (EIN: 93-4718594). The Service is offered as a Software-as-a-Service (SaaS) platform accessible through RESTful API endpoints. Features, supported models, and response formats may change over time as we improve the platform.

2. Account Registration

To use the Service, you must create an account by providing a valid email address and any other required information. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security and confidentiality of your API keys and account credentials.
• Accept responsibility for all activity that occurs under your account.
• Notify us immediately of any unauthorized use of your account.

You must be at least 18 years of age or the age of legal majority in your jurisdiction to create an account. Accounts registered by automated methods (bots) are not permitted.

3. Credit System & Billing

The Service operates on a prepaid credit system. Credits are purchased in one-time packs — there are no subscriptions or recurring charges. Available credit packs:

• Starter Pack — €49 (200 credits)
• Pro Pack — €149 (700 credits)
• Business Pack — €399 (2,000 credits)
• Top-ups — €10 (25 credits), €50 (150 credits)

Each API request consumes a fixed number of credits based on the orchestration mode: fast (1 credit), balanced (3 credits), deep (20 credits). Credits never expire. Volume discount bonuses (5-15%) may apply automatically based on lifetime spend.

Payment Methods

• Credit/Debit Card (Stripe): All card prices are in Euros (€) and exclusive of applicable taxes. By paying, you also agree to Stripe's Terms of Service.
• USDC Cryptocurrency (NOWPayments): Credit packs may also be purchased with USDC on Base L2 via NOWPayments. Crypto payments are final once confirmed on-chain.
• x402 Protocol (per-request): AI agents may pay per-request with USDC on Base L2 without an account. x402 payments are final and non-refundable.

Refund Policy

• Prepaid credits are non-refundable once purchased.
• If an orchestration fails due to a system error, credits are automatically refunded to your balance.
• Optional auto top-up can be configured to automatically purchase credits when your balance falls below a threshold. You may disable auto top-up at any time.
• We reserve the right to modify pricing with 30 days' prior notice. Existing credit balances are not affected by price changes.

4. Acceptable Use Policy

You agree not to use the Service to:

• Generate, store, or distribute content that is unlawful, harmful, threatening, defamatory, or otherwise objectionable.
• Violate any applicable local, national, or international law or regulation.
• Infringe upon the intellectual property rights of any third party.
• Attempt to reverse-engineer, decompile, or extract the underlying models, algorithms, or infrastructure of the Service.
• Transmit malware, viruses, or any code of a destructive nature.
• Circumvent or attempt to circumvent rate limits, credit allocations, or other usage restrictions.
• Use the Service to build a competing product or replicate core Service functionality for redistribution.
• Share, resell, or redistribute your API keys or account access to third parties without authorization.

We reserve the right to suspend or terminate accounts that violate this policy, with or without prior notice.

5. API Usage Terms

Your use of the API is subject to the following conditions:

• API keys are issued per account and must be kept confidential.
• Rate limits apply based on your account tier. Exceeding rate limits may result in throttled or rejected requests.
• The Service may impose reasonable usage limits to ensure fair access for all users.
• You are responsible for all API calls made using your credentials, regardless of whether they were authorized by you.
• We may update API specifications, endpoints, and response formats. We will make reasonable efforts to communicate breaking changes in advance.

6. Intellectual Property

The Service, including its design, code, documentation, branding, and all related materials, is the intellectual property of LLM Consensus and is protected by applicable intellectual property laws.

Your Content

You retain ownership of the prompts you submit and the outputs you receive through the Service. By using the Service, you grant LLM Consensus a limited, non-exclusive license to process your prompts solely for the purpose of delivering the Service (i.e., routing them to third-party LLM providers and returning results).

Restrictions

You may not copy, modify, distribute, sell, or lease any part of the Service or its software. You may not reverse-engineer or attempt to extract the source code of the Service except where permitted by law.

7. Data Handling & Third-Party Providers

By using the Service, you acknowledge and agree that:

• Your prompts and associated data will be transmitted to one or more third-party LLM providers for processing.
• You should not submit sensitive personal data, confidential business information, or regulated data (e.g., health, financial) through the Service unless you have assessed the risk and deemed it acceptable.
• LLM Consensus retains usage logs for a limited period (see our Privacy Policy) for operational purposes such as debugging, billing, and abuse prevention.
• We implement reasonable security measures to protect data in transit and at rest within our systems.

8. Service Level & Availability Disclaimer

The Service is provided on a best-effort basis. LLM Consensus does not guarantee any specific level of uptime, availability, or response time.

• The Service may be subject to interruptions due to maintenance, updates, or factors beyond our control (including third-party provider outages).
• We do not offer a formal Service Level Agreement (SLA) with guaranteed uptime percentages or financial remedies for downtime.
• We will make commercially reasonable efforts to maintain service reliability and to communicate planned maintenance windows in advance.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• LLM Consensus shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service.
• LLM Consensus's total aggregate liability for all claims arising from or relating to the Service shall not exceed the total amount you paid to LLM Consensus in the twelve (12) months preceding the event giving rise to the claim.
• LLM Consensus is not liable for the accuracy, quality, or suitability of outputs generated by third-party LLM providers.

10. Termination

Either party may terminate this agreement at any time:

• By you: You may close your account at any time by contacting us at hello@llmconsensus.io. Unused credits are non-refundable upon account closure.
• By us: We may suspend or terminate your account immediately if you breach these Terms, engage in prohibited conduct, or if continued provision of the Service is no longer commercially viable.

Upon termination, your right to access the Service ceases immediately. We may delete your account data after a reasonable retention period, as described in our Privacy Policy.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts in the State of Wyoming. Before initiating legal proceedings, both parties agree to attempt good-faith resolution through direct communication.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through a notice on our website at least 30 days before they take effect. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the changes.
